1. Acceptance of Terms

By accessing or using the LuxeAI website, mobile app, SMS services, or any LuxeAI features or offerings ("Services"), you ("you" or "User") agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

2. Eligibility

You must be at least 21 years old and legally capable of entering into a binding agreement to use LuxeAI. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration and Waitlist

To access certain features, you may be required to create an account and provide accurate, complete information.

Some users may be placed on a waitlist until approved by LuxeAI. There is no guarantee of approval or timeframe for approval. Waitlisted users will remain on the list until (a) approved by LuxeAI or (b) the user requests to be removed. LuxeAI reserves the right to approve, deny, or remove users at its sole discretion, at any time.

4. SMS Messaging Terms

By providing your mobile number and opting in, you consent to receive SMS communications from LuxeAI, including personalized recommendations, alerts, offers, reminders, and account notifications.

• Message and data rates may apply based on your carrier plan.
• You may opt out at any time by texting "STOP" to any message or following opt-out instructions provided.
• LuxeAI is not responsible for delays or failures in SMS delivery due to carrier issues or technical limitations.

5. AI-Powered Features & Disclaimers

LuxeAI offers hyper-personalized recommendations and concierge services powered by artificial intelligence (AI). These features are designed to assist in lifestyle, travel, dining, and entertainment decisions.

LuxeAI's recommendations and responses may rely on data provided by you or third-party sources. Accuracy or suitability of any recommendation is not guaranteed.

6. Hyper-Personalization

LuxeAI uses data you provide (including preferences, quiz responses, linked accounts, and usage patterns) to personalize your experience.

By using the Services, you consent to such personalization and the use of your data as described in our Privacy Policy.

7. Lifetime Founding Membership & Waitlist Policy

a. Waitlist Policy

• Users who join LuxeAI may be placed on a waitlist. Approval and access to the Services is not guaranteed within any specific timeframe. LuxeAI may grant access city by city, based on our rollout schedule.
• Users may remain on the waitlist indefinitely, or until approved or removed at their request.

b. Lifetime Founding Membership

The Lifetime Founding Membership ("Lifetime Membership") is a special, one-time offer for early supporters.

• Lifetime Memberships are non-refundable for any reason, including delays or changes to the Services.
• Users will receive access to the LuxeAI application within one (1) year of purchase, with access being granted city by city at LuxeAI's sole discretion.

• Some and not all features may be available at launch. LuxeAI reserves the right to add, remove, or modify features at any time without notice.
• Lifetime Membership benefits are for individual use only and may not be transferred, resold, or shared.

8. Fees & Payments

• All payments for memberships or Services are due at the time of order and are non-refundable, except as required by law or at LuxeAI's sole discretion.
• LuxeAI may change pricing or fees for future purchases at any time, but not retroactively.

9. User Conduct & Prohibited Uses

You agree not to:

• Violate any law or regulation.
• Use the Services for any unlawful, abusive, harassing, defamatory, or fraudulent purposes.
• Access or use the Services to build a competing product or service, or for any commercial purpose not expressly authorized by LuxeAI.
• Interfere with or disrupt the operation of the Services, servers, or networks.
• Use automated systems (bots, scrapers) to access, collect, or manipulate data from the Services.

10. Intellectual Property

All content and technology on the Services, including the LuxeAI name, logo, proprietary AI models, text, graphics, and features, are the exclusive property of LuxeAI, LLC or its licensors. Users are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes only.

11. Modifications to Service

LuxeAI reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without liability or notice.

12. Disclaimers & Limitation of Liability

The Services are provided "as is" and "as available." LuxeAI makes no warranties, express or implied, regarding the accuracy, reliability, or suitability of the Services.

To the maximum extent permitted by law, LuxeAI is not liable for any indirect, incidental, special, or consequential damages, or any loss of profits or data, arising from your use or inability to use the Services.

13. Indemnification

You agree to indemnify, defend, and hold harmless LuxeAI, LLC and its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, or expenses (including attorneys' fees) arising out of your violation of these Terms or misuse of the Services.

14. Termination

LuxeAI may suspend or terminate your account or access to the Services at any time, for any reason, without notice. Upon termination, all rights granted to you under these Terms will cease immediately.

15. Changes to Terms

LuxeAI may update these Terms from time to time. Any changes will be posted on this page with a revised effective date. Your continued use of the Services after changes have been posted constitutes acceptance of the new Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law provisions. Any disputes will be resolved in the state or federal courts located in Atlanta, Georgia.
